Terms of Service

Please read these Terms of Service ("Terms") carefully before using the DeserveOS platform available at app.deserveos.com (the "Service") operated by Deserve Studio, LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Definitions

• Service — The DeserveOS platform accessible at app.deserveos.com and its subdomains.

• Account — Your registered user account on the Service.

• Workspace — An isolated environment within DeserveOS where your team's data is stored and managed.

• Content — Any data, text, information, or materials you upload, store, or transmit through the Service.

• Subscription — A paid plan that grants access to the Service on a recurring billing basis.

• Customer Data — All data you or your users store within a Workspace, including contacts, companies, emails, deals, notes, and other CRM records.

Account Registration

To use the Service, you must create an Account. You agree to:

• Provide accurate, complete, and current information during registration

• Maintain the security of your password and Account credentials

• Accept responsibility for all activities that occur under your Account

• Notify us immediately of any unauthorized use of your Account

You may register using an email address and password, or through Google OAuth. You must be at least 18 years old to create an Account.

We reserve the right to suspend or terminate Accounts that violate these Terms or that use offensive, vulgar, or misleading usernames.

The Service

DeserveOS is a customer relationship management (CRM) platform that provides:

• Contact and company management

• Deal and pipeline tracking

• Email synchronization with connected accounts

• AI-powered lead identification from synced emails

• AI-powered email reply suggestions

• Task and activity management

• Team collaboration within Workspaces

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when practicable.

Subscriptions and Billing

Paid Plans

Some features of the Service require a paid Subscription. By subscribing, you agree to pay the applicable fees based on your selected plan (monthly or annual).

• Subscriptions are billed in advance on a recurring basis according to your billing cycle.

• You must provide a valid payment method to activate a Subscription.

• Subscriptions renew automatically unless cancelled before the end of the current billing cycle.

Free Trial

We may offer a free trial period at our discretion. If you do not cancel before the trial ends, you will be automatically charged the applicable Subscription fee. We reserve the right to modify or discontinue free trials at any time.

Fee Changes

We may adjust Subscription fees at the end of your current billing cycle. We will provide reasonable prior notice of any fee changes. Your continued use of the Service after a fee change constitutes acceptance of the new fees.

Cancellation

You may cancel your Subscription at any time through the Service or by contacting us. Cancellation takes effect at the end of the current billing cycle. No prorated refunds are provided for partial billing periods.

Refunds

Paid Subscription fees are non-refundable, except where required by applicable law.

Your Content and Customer Data

Ownership

You retain all ownership rights to your Content and Customer Data. We do not claim ownership of any data you store in the Service.

License to Us

By uploading Content to the Service, you grant us a limited, non-exclusive license to store, process, and display your Content solely to provide and improve the Service. This license terminates when you delete your Content or close your Account.

Your Responsibilities

You are responsible for:

• Ensuring you have the right to upload and store your Content

• The accuracy and legality of your Content

• Maintaining appropriate backups of your data

• Complying with all applicable laws regarding the data you store, including data protection regulations

AI Processing

By using AI-powered features (lead scanning and email reply suggestions), you acknowledge that portions of your Customer Data (such as email content) are sent to third-party AI service providers (OpenAI) for processing. This processing occurs only when you use these features and is governed by our Privacy Policy.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation

• Infringe upon the intellectual property or privacy rights of others

• Upload or transmit malware, viruses, or malicious code

• Attempt to gain unauthorized access to the Service or other users' Accounts

• Send unsolicited bulk messages (spam) through connected email accounts

• Interfere with or disrupt the Service or its infrastructure

• Use automated bots, scrapers, or similar tools to access the Service

• Impersonate another person or entity

• Harass, abuse, or harm other users

• Use the Service for any illegal or unauthorized purpose

We reserve the right to suspend or terminate your Account for violation of these terms.

Connected Accounts and Email Sync

When you connect a third-party email account (such as Google) to the Service:

• You authorize us to access and sync email messages from your connected account

• You are responsible for ensuring you have the authority to connect and sync the account

• All synced emails are stored within your Workspace and subject to your Workspace's access controls

• You may disconnect your account at any time to stop further syncing

We sync all emails from connected accounts by default. You can manage sync settings within the Service.

Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is owned by Deserve Studio, LLC and is protected by United States and international intellectual property laws.

The DeserveOS name, logo, and related marks are trademarks of Deserve Studio, LLC. You may not use our trademarks without our prior written consent.

Third-Party Services

The Service integrates with third-party services (such as Google for authentication and email sync, OpenAI for AI features, and Stripe for payments). Your use of these third-party services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services, or for any loss or damage arising from your use of them.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free

• Results obtained from the Service will be accurate or reliable

• AI-generated content (lead classifications, email reply suggestions) will be accurate, complete, or suitable for any specific purpose

You acknowledge that AI features provide suggestions only, and you are responsible for reviewing and verifying all AI-generated content before acting on it.

Limitation of Liability

To the maximum extent permitted by applicable law, Deserve Studio, LLC and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities

• Service interruptions

• Inaccurate AI-generated content

• Unauthorized access to or alteration of your data

Our total liability for any claim arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Deserve Studio, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any third-party rights

• Your Content or Customer Data

Termination

By You

You may close your Account at any time through the Service or by contacting us. Upon termination, your right to use the Service ceases immediately.

By Us

We may suspend or terminate your Account immediately, without prior notice, if:

• You breach these Terms

• Your use of the Service poses a security risk

• We are required to do so by law

• We discontinue the Service

Effect of Termination

Upon termination:

• Your access to the Service will be revoked

• We may delete your Customer Data after a reasonable retention period (typically 30 days), unless required by law to retain it

• Provisions that by their nature should survive termination will remain in effect, including ownership, warranty disclaimers, indemnification, and limitation of liability

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Wyoming.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you through the Service or by email.

Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.

Communications

By creating an Account, you agree to receive service-related communications from us, including transactional emails, security alerts, and product updates. You may opt out of non-essential communications by using the unsubscribe link in those emails.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Deserve Studio, LLC regarding the Service and supersede all prior agreements and understandings.
